2. Quotes and Project Scope
Quotes and proposals are prepared based on the information provided by the Client at the time of enquiry.
A quotation may include assumptions regarding the number of deliverables, design concepts, revisions, functionality, content, integrations, project timeline, and other requirements.
If the Client changes the requirements, specifications, functionality, quantity, design direction, or deliverables after a quote has been approved, Luzent Studio may revise the quotation accordingly.
Work requested outside the original agreed scope may be treated as additional work and may require additional payment.
3. Acceptance of a Project
A project may be considered accepted when the Client confirms approval of a quotation, proposal, invoice, statement of work, or project scope in writing or makes the required payment to commence the project.
Once a project has been accepted, Luzent Studio may allocate resources, schedule project time, and begin work.
4. Payment Terms
Payment terms will be communicated in the applicable quotation, proposal, invoice, or project agreement.
Luzent Studio may require a deposit, upfront payment, milestone payment, or full payment before commencing work.
Work may not commence until the required payment has been received and any necessary project information or access has been provided.
All invoices must be paid by the applicable due date.
If an invoice becomes overdue, Luzent Studio may pause work, delay delivery, withhold final files, or suspend services until outstanding amounts have been paid, to the extent permitted by applicable law.
5. Deposits and Upfront Payments
Where a deposit or upfront payment is required, the payment may be used to reserve project time and allocate resources to the Client’s project.
Once work has commenced, payments relating to services already performed may not be refundable, except where a refund is required by applicable law or otherwise agreed in writing.
If the Client cancels a project after work has commenced, the Client may be responsible for payment for work completed up to the date of cancellation, together with approved third-party costs already incurred.
Nothing in these Terms is intended to exclude, restrict, or override any consumer rights or other legal rights that cannot lawfully be excluded or restricted.

The Client represents that they have obtained all necessary rights, permissions, licences, and consents required to provide and use those materials.
Luzent Studio is not responsible for claims, losses, or disputes arising from the Client’s unauthorised use of third-party materials.
8. Design Concepts
Depending on the agreed scope, Luzent Studio may provide one or more design concepts for review.
The number of concepts and revisions included in a project will be stated in the applicable quotation or project agreement.
Design concepts that are not selected by the Client remain the property of Luzent Studio unless otherwise agreed in writing.
9. Revisions and Changes
A revision generally means a reasonable adjustment to an existing design or deliverable based on the Client’s feedback.
The number of revisions included in a project will depend on the agreed project scope.
Requests for a substantially different concept, change in project direction, additional deliverables, new functionality, or work outside the agreed scope may be charged separately.
Where additional revisions are requested beyond the included amount, Luzent Studio may charge an additional fee or provide a revised quotation before proceeding.

Once final approval has been provided, requests for further changes may be treated as additional work and may incur additional charges.
11. Project Timelines
Luzent Studio will make reasonable efforts to meet the estimated timeframe communicated to the Client.
Unless expressly agreed in writing, project timelines are estimates and are not guaranteed deadlines.
Timelines may depend on the timely provision of content, feedback, approvals, payments, account access, and other information from the Client.
12. Delays Caused by the Client
If the Client delays providing required content, feedback, approvals, payment, or account access, the project timeline may be extended.
Luzent Studio may pause the project until the required information or action is received.
If a project remains inactive for an extended period, Luzent Studio may need to reschedule the project based on current availability.
Additional fees may apply if substantial rework is required because of Client delays or changes to previously approved requirements.
13. Website Design and Development
Website projects may include design, development, page creation, content placement, responsive design, basic functionality, and other services specifically stated in the project scope.
Unless expressly included, the project fee does not automatically include ongoing website maintenance, hosting, domain registration, premium software, copywriting, photography, SEO, paid advertising, advanced development, or ongoing technical support.
Any additional services may be quoted separately.
14. Sales Funnel and Landing Page Projects
Funnel projects may include landing pages, sales pages, opt-in pages, thank-you pages, forms, basic integrations, and other components specifically included in the agreed scope.
Luzent Studio does not guarantee a particular number of leads, sales, conversions, revenue, or return on investment from a website or sales funnel.
Performance may depend on factors outside our control, including advertising, traffic quality, market conditions, pricing, offers, competition, audience behaviour, third-party platforms, and the Client’s business operations.
15. Third-Party Platforms and Services
Website and funnel projects may require third-party services, including website builders, hosting providers, domain registrars, CRM systems, email platforms, payment processors, analytics tools, plugins, applications, and other software.
Third-party platforms are operated independently from Luzent Studio. We are not responsible for changes to their pricing, functionality, policies, security, availability, outages, account restrictions, or discontinuation of services.
The Client remains responsible for maintaining their own third-party accounts unless otherwise agreed in writing.

Third-party costs may include:
- Domain registration
- Website hosting
- Premium plugins
- Software subscriptions

- Fonts
- Applications
- Email marketing services
- Payment processing fees
- Other third-party services
Unless expressly included in the quotation, third-party costs are the responsibility of the Client.
17. Account Access
Some projects may require Luzent Studio to access the Client’s website, hosting account, website builder, domain account, CRM, email platform, analytics platform, or other third-party service.
The Client authorises Luzent Studio to use the access provided solely for the purpose of performing the agreed services.
The Client should provide only the level of access reasonably required to complete the project and should revoke access when appropriate after the project has been completed.
18. Intellectual Property
Luzent Studio retains ownership of its pre-existing intellectual property, including design systems, templates, processes, methods, reusable components, internal resources, concepts, and know-how.
Unless otherwise agreed in writing, final deliverables created specifically for the Client will be made available for the Client’s intended use once full payment for the applicable project has been received.
Unused concepts, rejected designs, drafts, internal templates, processes, working methods, and reusable resources remain the property of Luzent Studio.
19. Source and Working Files
Editable source files and working files are not automatically included with every project.
Source files will only be provided when they are specifically included in the agreed scope or separately purchased by the Client.
Where source files are provided, the Client’s rights to use those files remain subject to any applicable third-party licences.
20. Third-Party Assets and Licences
Projects may include third-party materials such as stock photography, fonts, icons, templates, plugins, applications, or other licensed resources.

21. Portfolio and Promotional Use
Unless otherwise agreed in writing, Luzent Studio may display completed work created for the Client in its portfolio, website, social media, presentations, case studies, and other promotional materials.
If the Client requires a project to remain confidential or does not want completed work displayed publicly, this should be agreed in writing before the project begins.
22. Confidentiality
Luzent Studio will take reasonable steps to keep confidential information provided by the Client private and will use such information only as reasonably necessary to perform the agreed services.
Confidential information does not include information that is publicly available, was already lawfully known to Luzent Studio, becomes public through no fault of Luzent Studio, or is required to be disclosed by law.
23. No Guarantee of Business Results
Luzent Studio aims to provide professional, effective, and conversion-focused creative work.
However, we do not guarantee specific business outcomes, including revenue, sales, leads, conversions, website traffic, advertising performance, customer acquisition, or return on investment.
Business results depend on many factors outside Luzent Studio’s control.

We may temporarily suspend, modify, or restrict access to the website for maintenance, security, technical issues, upgrades, or other operational reasons.

The Client may request cancellation of a project by contacting Luzent Studio in writing.

Cancellation does not automatically cancel outstanding payment obligations for work already completed.
27. Termination by Luzent Studio
Luzent Studio may suspend or terminate services if the Client:
- Fails to make required payments
- Materially breaches these Terms
- Provides unlawful or infringing materials
- Repeatedly fails to provide necessary information
- Engages in abusive, threatening, fraudulent, or inappropriate conduct
- Uses our services for an unlawful purpose
Where appropriate, Luzent Studio will provide reasonable notice before terminating services, unless immediate termination is reasonably necessary.

Refunds will be considered based on the circumstances of the project, work already completed, applicable payment terms, third-party expenses, and applicable law.
Where services have already been performed, the Client may not be entitled to a full refund.
Nothing in these Terms limits any refund or consumer rights that are required by applicable law.

To the fullest extent permitted by applicable law, Luzent Studio will not be liable for indirect, incidental, special, consequential, or unforeseeable losses arising from the use of our website or services.
This may include loss of profits, revenue, business opportunities, goodwill, data, or anticipated savings.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

To the extent permitted by applicable law, the Client agrees to indemnify and hold Luzent Studio harmless from claims, losses, damages, liabilities, and reasonable expenses arising from:
- The Client’s breach of these Terms

Before pursuing formal proceedings, both parties should make reasonable efforts to resolve any dispute in good faith.
33. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be modified or removed to the minimum extent necessary, and the remaining provisions will continue to apply.
34. Entire Agreement
These Terms, together with any applicable quotation, proposal, invoice, statement of work, or written project agreement, form the agreement between Luzent Studio and the Client regarding the relevant services.
If a specific written project agreement contains terms that conflict with these general Terms, the specific project agreement will take precedence for that project.
35. Changes to These Terms
Luzent Studio may update these Terms from time to time to reflect changes to our services, business practices, technology, or applicable legal requirements.
The updated version will be published on this page with a revised “Last updated” date.
